2018 AABC Bylaws Ratification Vote

WHAT IS the VOTE ON?

Remember to vote!

A revision of the AABC Bylaws for simplification, removal of inconsistencies, best practices and compliance with state non-profit corporation law. The Board of Directors approved the revised bylaws, now the membership must vote to ratify the bylaws before they can go into effect.  Read a summary of the bylaws revision and the complete revised bylaws here before advancing to the next screen to cast your vote.

BACKGROUND

In July 2017, the AABC Board of Directors approved a full review of the AABC Bylaws by legal counsel to ensure that we are in compliance with New York State Non-Profit Corporation Law (NYS N-PCL)  and to recommend revisions based on best practices.  Fran Schwartz, Bylaws Committee Chair, and Kate Bauer, Executive Director, worked with Seth Perlman and Daniel Jenewein of the law firm Perlman + Perlman LLP on the review.  At the October 2017 Board meeting, the Bylaws Committee asked the Board for feedback on recommendations proposed by legal counsel.  The Bylaws Committee continued to work on the revision and sought consultation from legal counsel for the proposed revised bylaws.  

The Bylaws Committee presented the proposed revisions to the membership and listened to their comments at a Town Hall webinar in August which was then available on demand, and at the Open Forum at the AABC Birth Institute.

The proposed revisions to the bylaws include simplification, removal of inconsistencies, best practices and compliance with NYS NPCL.  Because there are many changes to the Bylaws, it is difficult to digest a red-lined version of the document.  The Bylaws Committee has prepared a document to highlight the substantive changes - read it here.

Who can vote?

  • Birth center member (established and developing) votes count for 10 votes, but only the primary contact can cast that vote.  Birth center representatives, please ask your primary contact to vote for your birth center.
  • All sustaining member votes count for 1 vote each.  These are associate, individual, lifetime, midwifery-led unit and institutional members.
  • Your membership must be current to vote.
  • Individuals with guest member accounts do not have member privileges and may not vote.
  • If you would like to vote but are either not a current member or in a non voting membership, click here to become a voting member.

How to vote

  • All members must log into the website to vote.  This is just like at your local polling place.  We want to make sure that the people who are voting are authorized to vote. 
  • Just like at your local polling place, all votes are anonymous.
  • And remember, you can only vote once.

 

How long is voting open?

Online voting will remain open thru 11:59PM EDT on DECEMBER 28, 2018
